What's the minimum capital for an LLC in Morocco?

The law imposes no minimum capital for an LLC: it is freely set in the articles of association (art. 46). Cash contributions are paid in for at least one quarter, the balance within five years, and above 100,000 dirhams the funds go into a blocked account (art. 51).

Good news: there is no imposed minimum capital. The capital of an LLC is freely set by the partners in the articles of association, and it is divided into shares of equal nominal value (art. 46).

What really matters is how it is paid in (that is, how the contributions are actually transferred):

  • The shares must be fully subscribed by the partners (art. 51).
  • Contributions in kind must be paid in full from the outset (art. 51).
  • Cash contributions (money) must be paid in for at least one quarter of their amount, with the remainder payable in one or more installments by decision of the manager, within a maximum period of five years from registration (art. 51).

Be careful: as long as the capital is not fully paid in, you cannot subscribe new cash shares, on pain of nullity (art. 51).

One final practical point: if the capital set exceeds one hundred thousand dirhams, the funds must be deposited within eight days of their receipt into a blocked bank account (art. 51). You will be able to withdraw them once the company is registered in the commercial register, upon presentation of the corresponding certificate (art. 52).
